These Terms of Service govern access to and use of the SanaVi Health Systems website, online store, content, customer-support services, and related purchasing features, as well as orders placed directly with SanaVi Health Systems LLC.

In these Terms, “SanaVi,” “we,” “us,” and “our” mean SanaVi Health Systems LLC. “Customer,” “you,” and “your” mean the individual or organization accessing the website, using SanaVi services, or purchasing a product.

Please review these Terms carefully before using the website or submitting an order.

1. Agreement to Terms

By checking an applicable acknowledgment box, submitting an order, creating an account, requesting or accepting an invoice, or otherwise affirmatively accepting these Terms, you acknowledge that you have reviewed and agree to be bound by them.

Your access to and use of the SanaVi website are also subject to the website-use provisions contained in these Terms, together with the Privacy Policy, Medical & Safety Disclaimer, SMS & Email Communications Policy, and other notices applicable to your use of the website.

If you do not agree to these Terms, you should not submit an order or continue using the website.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order through SanaVi.

If you access the website or place an order on behalf of a business, clinic, wellness center, healthcare practice, fitness facility, employer, government entity, nonprofit organization, or other organization, you represent that you have authority to act for and legally bind that organization.

You may not use the website or place an order if doing so would violate applicable law, regulation, professional restriction, court order, contractual restriction, or manufacturer requirement.

3. Customer Checkout Acknowledgment and Incorporated Purchase Policies

When placing an order directly through SanaVi Health Systems, customers are required to confirm that they have reviewed and understand their cart, the applicable product page, order details, Returns & Cancellations, Shipping, Delivery & Damage Policy, Warranty Policy – SanaVi Health Systems LLC, Terms of Service, and any fit, access, placement, delivery, freight, electrical, installation, regulatory, or manufacturer-specific requirements that may apply to the order.

By completing the checkout acknowledgment and submitting an order, the Customer agrees that the following documents and disclosures, as applicable, are incorporated into and form part of the purchase agreement for that order:

  • The applicable product page
  • The Customer’s cart and order confirmation
  • Returns & Cancellations
  • Shipping, Delivery & Damage Policy
  • Warranty Policy – SanaVi Health Systems LLC
  • Payments and Financing
  • Medical & Safety Disclaimer
  • Manufacturer warranty documentation and safety instructions made available before purchase
  • Any product-specific, freight, installation, regulatory, prescription, professional-use, or manufacturer-specific notices presented before purchase

Customers placing an order through an invoice, telephone order, draft order, external checkout, manufacturer-assisted process, or another method that does not display SanaVi’s standard online checkout acknowledgment may be required to provide the same or substantially similar acknowledgment electronically or in writing before the order is accepted.

Many products offered by SanaVi Health Systems are high-value wellness, recovery, fitness, physical-conditioning, or therapeutic-category systems that may involve freight delivery, manufacturer fulfillment, special handling, large-format dimensions, electrical requirements, room-placement considerations, installation requirements, or manufacturer-specific cancellation and return limitations.

Customers are responsible for reviewing the applicable product details and confirming that the selected product is appropriate for their intended space, access path, delivery conditions, placement location, electrical setup, installation requirements, environment, and intended use before completing the purchase.

Order of Precedence

If an inconsistency exists among the documents or disclosures incorporated into an order:

  1. Written order-specific terms expressly agreed to by SanaVi and the Customer will control with respect to that order.
  2. Product-specific disclosures presented before purchase will control over general website policies with respect to that product.
  3. The Customer’s accepted order confirmation will control as to the product, configuration, quantity, and price accepted by SanaVi.
  4. SanaVi’s applicable purchase policies and these Terms will otherwise apply.
  5. Applicable law will control over any conflicting contractual provision.

Manufacturer terms will apply only to the extent they concern the manufacturer’s warranty, product instructions, safety requirements, service procedures, or other manufacturer-controlled matters, or were otherwise disclosed as applicable before purchase.

Nothing in these Terms permits an undisclosed or later-modified manufacturer policy to retroactively change the material purchase terms accepted by a Customer, except where applicable law, a safety requirement, a product recall, or a regulatory directive requires otherwise.

Payment Disputes and Chargebacks

SanaVi makes reasonable efforts to provide clear product information, shipping details, return and cancellation terms, warranty information, manufacturer-specific requirements, and delivery-related responsibilities before purchase.

If a Customer initiates a payment dispute, chargeback, or bank inquiry related to an order, SanaVi may provide relevant supporting documentation to the payment processor, financing provider, issuing bank, card network, dispute administrator, manufacturer, carrier, insurer, or other party involved in reviewing the dispute.

Supporting documentation may include:

  • Order records
  • Checkout acknowledgments
  • Applicable Terms and policy versions
  • Product-page disclosures
  • Order confirmations
  • Payment records
  • Customer communications
  • Manufacturer communications
  • Shipping and tracking records
  • Freight records
  • Delivery appointments
  • Proof of delivery
  • Inspection or damage records
  • Warranty records
  • Cancellation or return communications
  • Other information reasonably related to the disputed transaction

Nothing in this section limits a non-waivable right available to the Customer under applicable law, financing terms, payment-card rules, or card-network procedures.

Customers are encouraged to contact SanaVi directly with any order concern, cancellation request, delivery issue, product-fit concern, warranty question, or return request so SanaVi has a reasonable opportunity to review and respond to the matter under the applicable purchase terms.

4. Nature of Products and Regulatory Status

SanaVi offers wellness, fitness, recovery, performance, relaxation, physical-conditioning, and other specialized systems. Certain products may also be regulated as medical devices or may be subject to product-specific intended-use, prescription, professional-use, labeling, regulatory, or safety requirements.

The regulatory status, intended use, permitted representations, and applicable requirements of a product depend on the exact product, manufacturer documentation, labeling, regulatory classification, and applicable law.

Customers are responsible for reviewing the current product page, manufacturer documentation, safety information, regulatory notices, and intended-use information applicable to the exact product being considered.

Unless expressly stated for a specific product, SanaVi does not represent that a product is intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

Product-category names containing words such as “therapy” identify commonly recognized products, systems, technologies, or market categories. Use of the word “therapy” in a category or product name does not, by itself, represent that every product within that category provides medical treatment or is intended for a medical purpose.

SanaVi does not independently alter or expand a manufacturer’s stated regulatory status, intended use, clearance, approval, registration, authorization, prescription requirement, or professional-use designation.

FDA establishment registration, device listing, or use of the phrase “FDA registered” does not, by itself, mean that a product has been FDA approved, cleared, endorsed, or determined effective for a particular use.

The exact regulatory representations shown on a product page should be interpreted only as applying to the exact product identified and only to the extent supported by current manufacturer or regulatory documentation.

5. Gift Cards & Purchase Limits

SanaVi Health Systems digital gift cards are closed-loop gift cards redeemable only for eligible purchases through SanaViHealthSystems.com. Gift cards may not be used to purchase additional gift cards and may not be redeemed for cash except where required by applicable law.

SanaVi Health Systems digital gift cards are redeemable only for eligible purchases completed directly through SanaViHealthSystems.com. Gift cards cannot be redeemed through third-party, manufacturer-operated, or external checkout systems. If a product utilizes an external purchasing process, customers should contact SanaVi Health Systems before completing their purchase to discuss available payment options.

To support fraud prevention, payment security, and applicable federal prepaid-access requirements administered by the Financial Crimes Enforcement Network (FinCEN), SanaVi Health Systems limits digital gift cards to a maximum value of $1,000 per gift card and no more than nine (9) gift cards per order.

Customers may not divide, coordinate, structure, or otherwise attempt to circumvent these purchase limits through separate or related transactions. SanaVi Health Systems reserves the right to identify related transactions, request additional payment or purchaser verification when reasonably necessary, restrict additional gift-card purchases, cancel or refund orders, or take other reasonable action permitted by applicable law or payment-processing requirements where fraud, unauthorized payment activity, suspected structuring, or other unlawful activity is identified.

Gift cards remain subject to all other applicable SanaVi Health Systems policies, including these Terms of Service.

6. Educational Information and No Professional Advice

Information provided through the SanaVi website, product pages, buying guides, articles, FAQs, videos, communications, manuals, or customer-support materials is provided for general educational and product-information purposes.

SanaVi content is not medical advice, diagnosis, treatment, engineering advice, electrical advice, architectural advice, installation advice, legal advice, or another form of professional advice.

Product information is not a substitute for guidance from a qualified healthcare professional, licensed electrician, contractor, engineer, installer, building official, safety professional, or other appropriately qualified person when such guidance is appropriate.

Customers should consult a qualified healthcare professional before using a product when they:

  • Have a medical condition
  • Are pregnant or may be pregnant
  • Use an implanted or wearable medical device
  • Take medications that may affect product use
  • Have concerns about whether a product is appropriate for them
  • Are instructed by the manufacturer to obtain medical clearance
  • Are purchasing a prescription-use or professionally supervised product

SanaVi does not establish a healthcare provider-patient relationship through the website, customer support, educational materials, or sale of a product.

7. Customer Responsibilities

The Customer agrees to:

  • Provide complete, current, and accurate billing, shipping, contact, delivery, and payment information.
  • Use only a payment method the Customer owns or is authorized to use.
  • Review the exact product, configuration, specifications, dimensions, included components, electrical requirements, placement requirements, access requirements, safety information, warranty terms, shipping terms, cancellation terms, and return eligibility before purchase.
  • Confirm that the product will fit through all doors, gates, hallways, stairways, elevators, loading areas, access paths, and other points required for delivery and placement.
  • Confirm that the intended location has adequate floor space, ceiling clearance, structural support, ventilation, temperature control, humidity control, utility access, electrical service, drainage, water supply, internet connectivity, or other requirements applicable to the product.
  • Obtain any permits, inspections, facility approvals, licensed electrical work, plumbing work, structural evaluation, installation services, training, supervision, professional authorization, or medical guidance required for the product or location.
  • Follow all manufacturer manuals, warnings, contraindications, operating instructions, maintenance instructions, cleaning procedures, service requirements, and safety notices.
  • Use the product only for its stated or lawful intended purpose.
  • Ensure that all users receive appropriate instructions, training, supervision, and access to applicable safety information.
  • Keep children, pets, untrained users, and unauthorized individuals away from products when required for safety.
  • Avoid using a product when damaged, improperly installed, recalled, subject to a stop-use notice, or operating abnormally.
  • Promptly report suspected defects, freight damage, missing components, safety issues, or warranty concerns according to the applicable policy and manufacturer procedure.
  • Maintain current contact information so that SanaVi or the manufacturer may provide material order, safety, recall, warranty, or service communications.

The Customer must not:

  • Disable, bypass, remove, modify, or interfere with safety controls, pressure controls, warning labels, electrical protections, software safeguards, ventilation systems, emergency features, or other safety mechanisms.
  • Make unauthorized modifications that create a safety risk or violate manufacturer instructions.
  • Misrepresent a product’s regulatory status, intended use, performance, warranty, origin, or manufacturer.
  • Use a consumer-use product in a professional or commercial environment when such use is prohibited by the manufacturer.
  • Use a product in violation of applicable law, licensing requirements, professional standards, prescription restrictions, or manufacturer requirements.

8. Product Information, Images, and Availability

SanaVi makes reasonable efforts to provide accurate and current product descriptions, specifications, photographs, diagrams, videos, included-component lists, pricing, availability, shipping estimates, and warranty information.

Product images may include staged environments, optional accessories, supporting equipment, furnishings, exercise equipment, computers, mobile devices, decorative items, or other objects that are not included unless expressly identified as included.

Colors, finishes, proportions, screen displays, materials, packaging, and other visual details may appear differently depending on lighting, photography, screen settings, manufacturer updates, production changes, or product configuration.

Product dimensions, capacities, performance values, temperature ranges, pressure ranges, power values, sound levels, weights, and similar specifications may be stated as approximate when identified as such.

Customers should rely on the specifications and included-component information applicable to the exact product and configuration selected.

Display of a product on the website does not guarantee that it is in stock, available for immediate shipment, available in every geographic location, or available in every displayed configuration.

9. Pricing, Payment, Financing, and Order Acceptance

Pricing

Prices, promotions, discounts, product configurations, availability, included components, and estimated fulfillment times may change before an order is submitted.

Unless expressly stated otherwise, prices do not include:

  • Sales, use, excise, or similar taxes
  • Permits or inspections
  • Professional installation
  • Electrical or plumbing work
  • Structural or site preparation
  • Inside delivery
  • White-glove delivery
  • Assembly
  • Debris removal
  • Liftgate service where separately charged
  • Storage charges
  • Redelivery charges
  • Remote-area surcharges
  • Special-access charges
  • Customs duties or import costs
  • Other services or costs not expressly included on the product page or order confirmation

The Customer is responsible for taxes and other applicable charges unless SanaVi is legally required to collect and remit them or the applicable order expressly states they are included.

Pricing and Listing Errors

Despite reasonable efforts, the website may contain typographical, pricing, availability, configuration, calculation, description, or technical errors.

SanaVi may correct an obvious error before accepting an order. If a material error is discovered after an order is submitted, SanaVi may contact the Customer with the corrected information and request confirmation before proceeding.

SanaVi will not knowingly fulfill an order at a price or under terms that resulted from an obvious material error. If the Customer does not accept the corrected terms, the affected order may be canceled and any applicable payment received for the canceled item will be refunded.

This provision does not permit SanaVi to change an accepted order merely because the market price later changes.

Payment Authorization

Submission of payment information authorizes SanaVi and its payment providers to process the applicable charges, verify the payment method, perform fraud or identity screening, and take other reasonable steps necessary to process the order.

A payment authorization, pending charge, financing approval, or automated order confirmation does not necessarily mean an order has been finally accepted for fulfillment.

Order Acceptance

Submission of an order constitutes an offer to purchase. SanaVi may verify the following before accepting or fulfilling an order:

  • Payment authorization
  • Customer identity
  • Billing and shipping information
  • Product availability
  • Manufacturer acceptance
  • Configuration accuracy
  • Shipping eligibility
  • Delivery feasibility
  • Regulatory or prescription requirements
  • Suspected fraud or unauthorized activity
  • Compliance with product-specific purchase requirements

SanaVi may decline, place on hold, or cancel an order for a legitimate reason, including:

  • Suspected fraud or unauthorized payment
  • Incomplete or inaccurate information
  • Product unavailability
  • Manufacturer discontinuation
  • Shipping restrictions
  • Delivery-access limitations
  • Export or regulatory restrictions
  • Failure to provide required documentation
  • Failure to accept a revised shipment date
  • An obvious pricing or listing error
  • Manufacturer refusal or inability to fulfill the order
  • A safety concern
  • A violation of these Terms

If SanaVi cancels an order after payment has been captured and the product has not been delivered, SanaVi will process the applicable refund in accordance with the original payment method, SanaVi’s policies, the payment provider’s procedures, and applicable law.

Financing and Installment Payments

Orders paid through Shop Pay Installments, Affirm, or another third-party financing or installment-payment provider are also subject to the financing, approval, repayment, interest, refund, dispute, and payment-provider terms accepted by the Customer.

SanaVi does not determine financing approval, interest rates, payment schedules, credit reporting, late fees, account administration, or other financing-provider decisions.

SanaVi cannot independently modify, suspend, cancel, or administer a Customer’s financing agreement except through an approved refund or adjustment processed under SanaVi’s applicable policies and the provider’s procedures.

The timing and manner in which a refund is applied to a financing balance are controlled by the financing provider after SanaVi processes an approved refund.

Customers should review Payments and Financing and the applicable provider terms before selecting a financing option.

External Manufacturer or Third-Party Checkout

Certain products may require the Customer to complete payment or order processing through an authorized manufacturer or other third-party checkout page.

The applicable product page, purchase button, or checkout notice will identify the external checkout process where reasonably practicable.

Purchases completed through an external checkout may be subject to the external seller’s or payment provider’s:

  • Terms of sale
  • Privacy practices
  • Payment procedures
  • Financing terms
  • Order-acceptance procedures
  • Cancellation requirements
  • Return policies
  • Refund procedures
  • Shipping requirements
  • Warranty procedures
  • Other purchase conditions

The party identified on the external checkout page, payment record, receipt, or order confirmation as the seller of record is responsible for the transaction obligations assigned to that seller under the applicable terms and law.

SanaVi’s website-use terms and any SanaVi disclosures provided before the Customer leaves the SanaVi website remain applicable to the Customer’s use of the SanaVi website and the information or services SanaVi provides.

When an external seller completes the sale, that seller’s transaction terms govern to the extent they apply to payment processing, order acceptance, fulfillment, cancellation, returns, refunds, taxes, or other seller-of-record responsibilities.

Customers should review all external checkout terms before completing the transaction.

10. Product Availability, Backorders, and Fulfillment Delays

Product availability and estimated fulfillment times may depend on manufacturer inventory, production schedules, custom configuration, freight availability, component availability, import processing, or other factors outside SanaVi’s direct control.

SanaVi will not knowingly represent an item as available for shipment without a reasonable basis for the stated or reasonably implied shipment timeframe.

If SanaVi learns that an item cannot ship within the stated or reasonably anticipated timeframe, SanaVi may:

  • Provide an updated estimated shipment date
  • Request the Customer’s consent to the delay
  • Offer an available alternative when appropriate
  • Permit cancellation of the delayed unshipped item
  • Cancel and refund the affected unshipped item when required

The Customer is not considered to have accepted a material shipment delay merely because the Customer submitted the original order.

When affirmative consent to a delay is required, failure to respond will be handled according to applicable law and the delay notice provided to the Customer.

Any refund for an unshipped canceled item will be processed using the original payment method and according to the payment provider’s procedures unless otherwise required by law.

Estimated shipment, fulfillment, transit, or delivery dates are estimates rather than guarantees unless SanaVi expressly agrees in writing to a guaranteed date.

Federal rules generally require internet sellers to have a reasonable basis for advertised shipment times and to obtain consent to a qualifying delay or provide a refund for unshipped merchandise when the promised timeframe cannot be met.

11. Shipping, Freight Delivery, and Risk of Loss

Shipping, freight delivery, delivery appointments, inspection responsibilities, damage reporting, refused delivery, missed appointments, storage charges, redelivery, remote-area access, and related matters are governed by Shipping, Delivery & Damage Policy and any product-specific shipping disclosures.

Customers are responsible for providing a complete and accurate delivery address, telephone number, email address, access information, and any delivery restrictions before shipment.

Freight deliveries may require:

  • A scheduled delivery appointment
  • An adult recipient
  • A signature
  • Curbside acceptance
  • Immediate exterior inspection
  • Notation of visible damage on the delivery receipt
  • Photographs
  • Retention of packaging
  • Prompt reporting of concealed damage
  • Cooperation with carrier or manufacturer claim procedures

Unless expressly included, standard freight delivery does not include inside delivery, stair carry, room-of-choice placement, assembly, installation, packaging removal, electrical connection, plumbing connection, or disposal of an existing product.

Customers should not sign a delivery receipt stating that the shipment was received in good condition when visible damage, missing pieces, punctures, crushing, water exposure, or other exceptions are present.

Risk of loss and title will transfer as provided by applicable law and the Shipping, Delivery & Damage Policy. Nothing in these Terms transfers risk in a manner prohibited by applicable consumer law or eliminates responsibilities SanaVi has expressly accepted.

12. Installation, Placement, and Site Readiness

Unless expressly stated in the applicable order, SanaVi does not provide installation, construction, electrical work, plumbing work, structural modification, permitting, site preparation, or professional facility approval.

Customers are responsible for confirming site readiness before delivery or installation, including:

  • Product dimensions
  • Operational clearance
  • Door and hallway dimensions
  • Elevator capacity
  • Stairway access
  • Floor loading
  • Ceiling height
  • Ventilation
  • Temperature and humidity requirements
  • Electrical voltage, amperage, outlet type, and circuit requirements
  • Plumbing, drainage, or water requirements
  • Internet or wireless connectivity
  • Local building, electrical, fire, health, zoning, accessibility, or professional-use requirements

Any electrician, plumber, contractor, installer, delivery provider, or other service professional engaged by the Customer is an independent service provider unless SanaVi expressly states otherwise in writing.

SanaVi is not responsible for work performed by a Customer-selected third party.

A Customer’s failure to prepare the location, confirm access, obtain required services, or meet product requirements does not by itself establish that the product is defective or that SanaVi is responsible for return, cancellation, storage, redelivery, installation, or modification costs.

13. Returns, Cancellations, and Refunds

Cancellations, returns, refusals, exchanges, refunds, freight-damage claims, failed-delivery charges, storage charges, and redelivery costs are governed by:

  • Returns & Cancellations
  • Shipping, Delivery & Damage Policy
  • The applicable product-page disclosures
  • Written order-specific terms
  • Manufacturer-specific terms presented before purchase

Some products may be:

  • Custom-built
  • Made to order
  • Special-order
  • Manufacturer-fulfilled
  • Hygienic-use products
  • Prescription-related products
  • Freight-shipped products
  • Professionally installed products
  • Non-returnable products
  • Subject to manufacturer-specific cancellation or restocking charges
  • Ineligible for return after opening, assembly, installation, activation, use, or removal from original packaging

A request to cancel an order is not effective until SanaVi confirms the cancellation in writing.

Submitting a cancellation request does not guarantee that cancellation remains available. Manufacturer production, order processing, customization, packaging, transfer to a carrier, shipment, or other fulfillment activity may affect cancellation eligibility and applicable charges.

A return is not authorized until the Customer receives written return authorization and instructions from SanaVi or the responsible seller or manufacturer.

Unauthorized returns, refused shipments, or products sent to an incorrect location may be rejected and may result in shipping, storage, handling, redelivery, or other charges.

Approved refunds are processed according to the applicable policy, original payment method, financing-provider procedure, and legally required timeframe.

Original shipping, return shipping, installation, removal, freight, white-glove service, financing charges, customs charges, or other costs are refundable only when expressly provided by the applicable policy or required by law.

Nothing in these Terms eliminates a non-waivable cancellation, return, refund, or remedy right provided by applicable law.

14. Warranties and Manufacturer Support

Product warranties, if any, are provided according to the written warranty documentation applicable to the exact product.

Warranty duration, coverage, exclusions, service procedures, labor, parts, shipping responsibilities, registration requirements, commercial-use limitations, transferability, and remedies vary by manufacturer and product.

Customers must review the applicable written warranty before purchase. SanaVi will make applicable written consumer warranty information available through the product page, warranty page, manufacturer documentation, or another reasonably accessible pre-purchase method when required.

Federal law generally requires written consumer warranties for covered products to be available for review before purchase.

Unless SanaVi expressly provides a separate written warranty:

  • SanaVi does not create an independent product warranty.
  • SanaVi does not expand or extend the manufacturer’s warranty.
  • SanaVi does not have authority to modify a manufacturer’s warranty decision.
  • SanaVi does not guarantee manufacturer approval of a claim.
  • SanaVi does not guarantee repair, replacement, parts availability, service location, technician availability, or turnaround time.

SanaVi may assist Customers with warranty communication, documentation, troubleshooting coordination, parts requests, or manufacturer contact when reasonably available. Such assistance does not mean SanaVi has assumed the manufacturer’s warranty obligations.

Customers are responsible for following applicable warranty procedures, including:

  • Product registration when required
  • Retention of proof of purchase
  • Proper use and maintenance
  • Use within the permitted environment
  • Timely notice of a claimed defect
  • Submission of photographs, videos, serial numbers, logs, or other reasonably required information
  • Cooperation with troubleshooting
  • Avoidance of unauthorized repairs or modifications when prohibited by applicable warranty terms or when they create a safety risk

Nothing in these Terms excludes or limits a warranty, remedy, or consumer right that cannot lawfully be excluded or limited.

Because implied-warranty rights and permissible disclaimers can vary by jurisdiction, no provision of these Terms should be interpreted as disclaiming an implied warranty to the extent such a disclaimer is prohibited by applicable law.

15. Manufacturer Product Updates and Specification Changes

SanaVi makes reasonable efforts to keep product descriptions, specifications, images, included components, manuals, and availability information accurate and current.

Because many products are manufactured, updated, packaged, or fulfilled by third-party manufacturers, product details may occasionally change without prior notice to SanaVi.

Manufacturer updates may include changes to:

  • Included accessories
  • Packaging
  • Labels
  • Manuals
  • Component appearance
  • Materials
  • Finishes
  • Controls
  • Software
  • User interfaces
  • Connectors
  • Internal components
  • Product dimensions or weight
  • Other product details

Minor, non-material variations in packaging, finishes, labels, accessory appearance, software interface, or component design do not necessarily constitute a material product difference when the product’s essential identity, intended function, represented capabilities, and material performance remain substantially unchanged.

If SanaVi becomes aware of a material product change before fulfillment, SanaVi will make reasonable efforts to update the product page, obtain clarification, or contact the Customer when appropriate.

SanaVi will not knowingly substitute a materially different product model for the ordered model without the Customer’s consent.

If a Customer receives a product that materially differs from the information presented at the time of purchase, SanaVi will review the matter in good faith and work with the Customer and manufacturer toward a reasonable available resolution.

Depending on the circumstances, available resolutions may include:

  • Clarification
  • Technical support
  • Correction of documentation
  • Replacement parts
  • Exchange
  • Return authorization
  • Refund
  • Another remedy made available by the responsible seller, manufacturer, warranty provider, or applicable law

Not every remedy will be available in every circumstance.

16. Product Safety Notices, Recalls, and Stop-Use Instructions

Customers agree to review and comply with product safety notices, recalls, corrective-action notices, service bulletins, software notices, and stop-use instructions issued by SanaVi, the manufacturer, a regulatory authority, or another authorized entity.

Customers must immediately stop using a product when instructed to do so by:

  • The manufacturer
  • SanaVi
  • A qualified service provider acting under manufacturer authority
  • A regulatory authority
  • An applicable recall or safety notice

Customers should maintain current contact information and, when required, complete manufacturer product registration so that safety and warranty communications can be received.

SanaVi may use Customer contact information to deliver transactional product-safety, recall, warranty, service, or corrective-action communications as permitted or required by law.

17. Commercial and Professional Use

Products purchased for clinics, professional practices, fitness facilities, wellness centers, athletic facilities, commercial environments, rental use, employee use, or use by members of the public may be subject to additional requirements.

The purchasing organization is responsible for:

  • Confirming that the product is authorized for the intended environment
  • Compliance with professional licensing and facility requirements
  • Staff training
  • User screening when required
  • Supervision
  • Cleaning and sanitation
  • Maintenance records
  • Safety procedures
  • Insurance
  • Local permits
  • Emergency procedures
  • Compliance with applicable laws and professional standards

A product’s suitability for home use does not necessarily establish suitability for professional or commercial use. Similarly, a professionally designed product may be appropriate for home use only when its space, electrical, installation, supervision, and other requirements can be satisfied.

18. Website Accounts and Account Security

Customers are responsible for maintaining the confidentiality of their account credentials and restricting access to their accounts and devices.

Customers agree to provide accurate account information and promptly update information that changes.

Customers must promptly notify SanaVi if they suspect unauthorized account access, unauthorized payment activity, or misuse of their information.

SanaVi may suspend or restrict an account when reasonably necessary to investigate suspected fraud, unauthorized activity, security concerns, violations of these Terms, or threats to the website or other users.

SanaVi is not responsible for losses caused by a Customer’s failure to protect account credentials except to the extent applicable law provides otherwise.

19. Acceptable Website Use

Customers may use the SanaVi website only for lawful personal, informational, professional, or purchasing purposes consistent with these Terms.

Customers may not:

  • Use the website for fraud, deception, impersonation, or unauthorized payment activity.
  • Attempt to gain unauthorized access to an account, server, database, network, or website function.
  • Upload or transmit malicious code, malware, viruses, automated attacks, or destructive material.
  • Interfere with website security, operation, performance, or availability.
  • Circumvent purchasing limits, access controls, security measures, or account restrictions.
  • Collect personal information about other users without lawful authorization.
  • Use automated systems to place fraudulent orders or materially burden the website.
  • Reproduce, scrape, extract, republish, or commercially exploit substantial website content for a competing commercial catalog, database, or service without authorization.
  • Falsely imply endorsement, partnership, authorization, certification, or affiliation with SanaVi.

20. Intellectual Property

Unless otherwise stated, the SanaVi website and its original content, organization, text, graphics, branding, logos, page design, buying guides, product comparisons, educational materials, photographs, videos, and other materials are owned by SanaVi, licensed to SanaVi, used with permission, or otherwise protected by applicable intellectual-property law.

Manufacturer names, product names, trademarks, photographs, manuals, videos, and other manufacturer materials remain the property of their respective owners.

SanaVi grants Customers a limited, revocable, non-exclusive, non-transferable right to access and use the website for lawful personal or internal business purposes.

No ownership rights are transferred through access to the website.

Without written authorization, Customers may not reproduce, distribute, republish, sell, sublicense, create a competing commercial database from, or commercially exploit SanaVi’s protected content except as permitted by law.

21. Artificial Intelligence and Automated Services

SanaVi Health Systems LLC uses, and may continue to expand its use of, artificial intelligence ("AI"), automated systems, virtual assistants, and similar technologies to assist Customers in locating information, navigating the Website, comparing products, answering general questions, and obtaining purchasing information. As technology evolves, SanaVi product and educational content may also be accessed through external artificial intelligence platforms, automated shopping agents, search systems, browser assistants, and similar technologies.

While SanaVi takes reasonable steps to maintain accurate and current information, AI-generated responses may occasionally be incomplete, outdated, inaccurate, or incorrectly summarized. AI systems may also associate or combine information from multiple products, models, manufacturers, or sources in ways that do not accurately reflect a specific SanaVi product, policy, or manufacturer.

SanaVi embraces artificial intelligence as a tool for customer education and shopping assistance; however, AI-generated, summarized, reformatted, or externally presented information does not constitute an authoritative representation of SanaVi. The current information displayed on the SanaVi Website, together with applicable checkout disclosures, order-specific communications, manufacturer documentation, and SanaVi policy pages, shall govern and control all matters relating to the purchase.

Third-party AI platforms, search engines, browser assistants, shopping agents, and similar technologies are independently operated and are not controlled by SanaVi. SanaVi cannot control how these external systems retrieve, interpret, summarize, combine, index, update, or present information obtained from SanaVi or other sources. Because third-party AI systems determine their own indexing and update schedules, information presented by those systems may not immediately reflect changes made to the SanaVi Website.

Customers who choose to use an AI assistant or automated shopping agent remain responsible for reviewing all product and order information after being directed to the SanaVi Website. Customers are also responsible for confirming product specifications, pricing, availability, shipping information, delivery requirements, and applicable policies before completing a purchase. All required acknowledgments, checkout requirements, purchase conditions, and other applicable requirements must be completed directly through the SanaVi Website before an order may be submitted. The use of an AI tool does not modify these Terms of Service or bypass any required acknowledgments, checkout requirements, purchase conditions, or other applicable policies.

Customers who believe AI-generated information concerning SanaVi is inaccurate, inconsistent, or outdated are encouraged to contact SanaVi before relying upon that information or completing a purchase. SanaVi welcomes reports of apparent inaccuracies so that SanaVi-controlled information may be reviewed and corrected when appropriate.

By providing contact information in connection with an account, inquiry, or order, Customers consent to receive electronic transactional communications reasonably related to the following, as permitted by applicable law:

  • Orders
  • Payments
  • Fraud verification
  • Financing
  • Shipping
  • Delivery appointments
  • Backorders
  • Cancellations
  • Returns
  • Refunds
  • Warranty matters
  • Product support
  • Safety notices
  • Recalls
  • Legal or policy notices

Transactional communications are not dependent on consent to receive marketing messages.

Marketing email and SMS communications are governed separately by the SMS & Email Communications Policy and applicable consent and opt-out requirements.

Customers are responsible for providing a working email address and telephone number and for reviewing communications related to their orders.

24. Suspension, Refusal of Service, and Termination

SanaVi may suspend website access, restrict account activity, decline an order, or terminate a Customer’s access when reasonably necessary because of:

  • Fraud or suspected fraud
  • Unauthorized payment activity
  • Abuse, harassment, or threats
  • Security concerns
  • Unlawful conduct
  • Misuse of the website
  • Material violation of these Terms
  • Repeated false claims
  • Interference with SanaVi, a manufacturer, carrier, or service provider
  • A legal or regulatory requirement

SanaVi will not refuse service for an unlawful discriminatory reason or in violation of applicable law.

Termination of website access does not eliminate payment obligations, return obligations, warranty procedures, dispute provisions, or other duties arising from an existing order.

25. Disclaimer of Website Availability

SanaVi makes reasonable efforts to maintain the website but does not guarantee uninterrupted, error-free, or continuously available access.

The website may be temporarily unavailable because of:

  • Maintenance
  • Software updates

SanaVi is not responsible for manufacturer-controlled decisions, production schedules, warranty determinations, parts availability, service locations, software availability, carrier operations, or manufacturer delays except to the extent SanaVi expressly assumed responsibility or applicable law provides otherwise.

These limitations do not apply to liability that cannot lawfully be excluded or limited. They do not exclude liability arising from SanaVi’s gross negligence, willful misconduct, fraud, or other conduct for which limitation is prohibited by applicable law.

Some jurisdictions do not permit certain exclusions or limitations. In such jurisdictions, the exclusions and limitations will apply only to the maximum extent permitted.

27. Indemnification

To the fullest extent permitted by law, the Customer agrees to indemnify and hold harmless SanaVi and its owners, officers, employees, and agents from third-party claims, damages, losses, liabilities, judgments, and reasonable costs arising from:

  • The Customer’s unlawful conduct
  • A material violation of these Terms
  • Unauthorized modification or commercial resale of a product
  • Misrepresentation of a product
  • Misuse contrary to clear product instructions or warnings
  • Infringement of another person’s rights
  • Conduct by an organization, employee, contractor, guest, client, patient, member, or other user for whom the Customer is legally responsible

This section does not require a Customer to indemnify SanaVi for SanaVi’s own gross negligence, willful misconduct, fraud, or liability that cannot legally be shifted to the Customer.

28. Force Majeure

SanaVi will not be liable for delay or failure caused by events outside its reasonable control, including:

  • Natural disasters
  • Severe weather
  • Fire
  • Flood
  • Earthquake
  • Epidemic or pandemic
  • War
  • Terrorism
  • Civil unrest
  • Government action
  • Regulatory action
  • Labor disputes
  • Carrier interruption
  • Port congestion
  • Customs delay
  • Import or export restriction
  • Manufacturer shutdown
  • Supply-chain interruption
  • Material or component shortage
  • Utility outage
  • Cyberattack
  • Network failure
  • Failure of a critical third-party service

SanaVi will make reasonable efforts to communicate material delays and resume performance when reasonably possible.

This section does not eliminate a Customer’s right to cancel or receive a refund when required by applicable law.

29. Informal Dispute Resolution

Before filing a legal action, the Customer and SanaVi agree to make a good-faith effort to resolve the dispute through direct written communication for at least 30 days.

A dispute notice should include:

  • The Customer’s name and contact information
  • The relevant order number
  • A detailed description of the dispute
  • Supporting documents
  • The requested resolution

The notice should be sent to support@sanavihealthsystems.com.

SanaVi may request additional information reasonably necessary to investigate the matter.

This informal-resolution requirement does not prevent either party from:

  • Filing an eligible small-claims matter
  • Seeking urgent injunctive relief
  • Meeting a legal filing deadline
  • Exercising a non-waivable statutory right
  • Cooperating with a regulator, bank, financing provider, insurer, or payment network

30. Governing Law and Venue

These Terms and disputes arising from them are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except to the extent applicable consumer law requires otherwise.

Subject to any non-waivable consumer right and except for an eligible small-claims matter, legal proceedings arising from these Terms or a SanaVi order shall be brought in a Colorado state court having proper jurisdiction or a United States federal court having proper jurisdiction in Colorado.

Each party consents to the personal jurisdiction of those courts to the extent permitted by law.

Nothing in this section deprives a Customer of protections that cannot lawfully be waived under the law applicable to that Customer or transaction.

These Terms do not presently require private arbitration or contain a class-action waiver.

31. Changes to These Terms

SanaVi may update these Terms from time to time by posting a revised version with a new effective date or last-updated date.

Updated Terms apply prospectively to website use and orders submitted after the effective date unless applicable law requires otherwise.

An order remains governed by the version of these Terms and the applicable purchase policies accepted or otherwise incorporated when the order was submitted, except when:

  • The parties expressly agree in writing to a later change
  • A non-material administrative update does not affect the Customer’s substantive rights
  • A safety notice, recall, or regulatory requirement must apply
  • Applicable law requires otherwise

Continued use of the website after revised Terms become effective constitutes acceptance of the revised website-use provisions to the extent permitted by law. It does not retroactively rewrite the material purchase terms of an order previously submitted.

32. Assignment

The Customer may not assign or transfer an order, account, warranty claim, or rights under these Terms without SanaVi’s written consent, except where applicable law or warranty terms provide otherwise.

SanaVi may assign these Terms or related rights and obligations as part of a merger, acquisition, sale of assets, corporate restructuring, financing transaction, or transfer of the business, provided the assignment does not eliminate non-waivable Customer rights.

33. No Waiver

A party’s failure or delay in enforcing a provision of these Terms does not waive the right to enforce that provision later.

A waiver is effective only when clearly stated in writing by the party granting it and applies only to the specific matter identified.

34. Severability

If a provision of these Terms is found invalid, unlawful, or unenforceable, the provision will be enforced to the maximum extent permitted by law or modified only to the extent necessary to make it enforceable.

The remaining provisions will continue in effect.

35. Entire Agreement

These Terms, together with the documents and disclosures incorporated into the applicable transaction, constitute the agreement between SanaVi and the Customer concerning the website use or order to which they apply.

The incorporated purchase agreement may include:

  • The accepted order confirmation
  • Returns & Cancellations
  • Shipping, Delivery & Damage Policy

Nothing in this section permits a general website statement, blog post, FAQ, buying guide, social-media post, third-party statement, or informal communication to alter an accepted order unless SanaVi expressly confirms the change in writing.
